General Terms and Conditions MH Packaging

Article 1 – Definitions
1.1 MH Packaging: The trade name of the company that sells packaging materials in a B2B environment.
1.2 Customer: Any business entity purchasing products from MH Packaging.
1.3 Agreement: The agreement between MH Packaging and the Customer regarding the sale and delivery of packaging materials.

Article 2 – Applicability
2.1 These general terms and conditions apply to all offers, agreements, and deliveries of MH Packaging.
2.2 Deviations from these conditions are only valid if agreed upon in writing.

Article 3 – Offers and Agreements
3.1 All offers and quotations are without obligation, as stated on the pro forma invoice.
3.2 An agreement is established after written confirmation by MH Packaging or upon acceptance by the Customer.

Article 4 – Prices and Payment
4.1 All prices are exclusive of VAT and other levies unless stated otherwise.
4.2 Payment must be made within 14 days of the invoice date unless otherwise agreed.
4.3 If the Customer fails to pay on time, MH Packaging is entitled to charge statutory commercial interest and collection costs.

Article 5 – Delivery and Transfer of Risk
5.1 Delivery takes place at the address specified by the Customer.
5.2 Delivery times are indicative, and exceeding them does not entitle the Customer to compensation or contract termination.
5.3 The risk of the goods transfers to the Customer upon delivery.

Article 6 – Retention of Ownership
6.1 All delivered goods remain the property of MH Packaging until full payment has been received.

Article 7 – Liability
7.1 MH Packaging is not liable for indirect damage, consequential damage, or lost profits.
7.2 The liability of MH Packaging is limited to the invoice amount of the relevant delivery.

Article 8 – Force Majeure
8.1 MH Packaging is not obliged to fulfill any obligation if this is impossible due to force majeure, such as natural disasters, strikes, or legal restrictions.

Article 9 – Disputes and Applicable Law
9.1 All agreements between MH Packaging and the Customer are governed by Dutch law.
9.2 Disputes will be submitted exclusively to the competent court in the Netherlands.
